2. Acceptance of Terms

By using the Services, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

3. Eligibility and Accounts

• You must be at least the age of majority in your jurisdiction.
• You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.
• You must provide accurate, current, and complete information when creating an account and keep it updated.

4. Services and Statements of Work

Specific project terms (scope, deliverables, timelines, fees) may be defined in separate Statements of Work (each, an “SOW”). In the event of a conflict, the SOW will govern with respect to the applicable project, except where these Terms expressly control.

5. Acceptable Use

• No unlawful, infringing, harmful, or abusive activity.
• No reverse engineering or circumvention of security measures.
• No interfering with or disrupting the Services or networks.
• No unauthorized access to other users’ data or systems.

6. Fees, Invoicing, and Taxes

Fees and payment terms will be stated in the applicable SOW or order form. Unless stated otherwise, fees are exclusive of taxes, which you are responsible for paying as required by law. Late payments may incur interest at the maximum rate permitted by law.

7. Intellectual Property

Algenius and its licensors retain all rights, title, and interest in and to the Services and underlying technology. Project-specific IP ownership or licensing terms will be defined in the SOW. You grantAlgenius a limited license to use content or materials you provide solely to deliver the Services.

8. Confidentiality

Each party agrees to protect the other party’s confidential information using at least reasonable care and to use it only as necessary to perform under these Terms or an SOW. This obligation does not apply to information that is publicly available, rightfully received from a third party, independently developed, or required to be disclosed by law.

9. Data Protection and Privacy

To the extent Algenius processes personal data on your behalf, the parties will comply with applicable data protection laws. Please review our Privacy Policy to learn how we collect, use, and protect personal information.

10. Third-Party Services

The Services may interoperate with or include third-party offerings.Algenius is not responsible for third-party services and disclaims all liability related to them. Your use of third-party services is subject to their terms and privacy policies.

11. Warranties and Disclaimers

Except as expressly stated in an SOW, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Algenius does not warrant that the Services will be uninterrupted, secure, or error-free.

12. Limitation of Liability

To the maximum extent permitted by law, in no event will Algenius be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, even if advised of the possibility of such damages. Algenius's aggregate liability arising out of or related to the Services will not exceed the amounts paid by you for the Services in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Algenius, its affiliates, and their officers, directors, employees, and agents, from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or violation of these Terms.

14. Term and Termination

Either party may terminate the Services or any SOW for cause if the other party materially breaches these Terms or the SOW and fails to cure within a reasonable period after written notice. Upon termination, your right to access the Services will cease, except as otherwise stated in an SOW.

15. Governing Law and Dispute Resolution

These Terms will be governed by the laws of your selected jurisdiction without regard to conflict of law principles. The parties agree to attempt to resolve disputes amicably. If unresolved, disputes will be submitted to the exclusive jurisdiction of the courts located in your selected venue. Update this section with the appropriate jurisdiction and venue.

16. Changes to These Terms

We may update these Terms from time to time. The “Effective” date at the top indicates when the latest changes took effect. If material changes are made, we will take reasonable steps to notify you.
